1. Service Description
Parvl is an AI-powered decision intelligence platform that helps engineering teams capture, classify, search, and analyze organizational decisions. The service ingests data from connected sources (currently Slack; and, when enabled, GitHub, Jira, and meeting transcription services), uses artificial intelligence to identify and classify decisions, and provides search, analytics, and governance tools.
2. Account Terms
- Authentication: Parvl uses Clerk for authentication. You are responsible for maintaining the security of your account credentials and for all activity under your account.
- Organization administrators: The organization administrator is responsible for managing member access, configuring integrations, setting data retention policies, and ensuring that appropriate consent has been obtained from team members whose communications may be processed.
- Age requirement: You must be at least 16 years of age to use Parvl.
- Accurate information: You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform, except as permitted by applicable law.
- Circumvent or attempt to circumvent any usage limits, rate limits, or access controls.
- Use automated means (bots, scrapers, crawlers) to access the service beyond the provided APIs.
- Interfere with or disrupt the integrity or performance of the service or its infrastructure.
- Share your account credentials or allow unauthorized access to your organization's data.
- Use the service to store or process data subject to heightened regulatory requirements (e.g., HIPAA, PCI-DSS) without a separate written agreement.
- Use access to the Service, its features, design, or any non-public information obtained through the Service to build, improve, or market a competing product or service.
4. AI-Generated Content Disclaimer
Parvl uses artificial intelligence (powered by Anthropic Claude) to classify decisions, score confidence levels, detect patterns, and generate analytics. You acknowledge and agree that:
- AI-generated classifications, confidence scores, health assessments, and analytics may be inaccurate or incomplete.
- AI confidence scores are provided to help you assess reliability. Items below your configured confidence threshold are automatically routed for human review.
- Parvl provides decision intelligence tools and is not a substitute for professional legal, medical, financial, or business advice.
- You are responsible for reviewing AI-generated content and exercising independent judgment before relying on it for important decisions.
- Parvl is not liable for any losses arising from reliance on AI-generated classifications or analytics.
5. Data Ownership
- Your data: You retain full ownership of all data you submit to Parvl, including decisions, comments, transcripts, and integration data (“Customer Data”). We claim no ownership rights over Customer Data.
- License to process: You grant Parvl a limited, non-exclusive license to process Customer Data solely for the purpose of providing and improving the service. This license terminates when you delete your data or close your account.
- No training by default: We do not use Customer Data to train, fine-tune, or improve any machine learning or AI models unless you explicitly opt in to the Service Improvement Program (“SIP”) in your Organisation Settings. When SIP is enabled, Parvl uses de-identified, aggregated correction data (confirm, reject, and edit actions) to improve classification accuracy. No original message text is used for training. SIP can be disabled at any time. Our AI sub-processors (Anthropic, OpenAI) are contractually prohibited from using data sent via their APIs for model training. 6. Intellectual Property
- Platform ownership: Parvl and its underlying technology, including the software, algorithms, user interface, documentation, and trademarks, are owned by Parvl and protected by intellectual property laws.
- Customer content: You retain all intellectual property rights in your Customer Data.
- Feedback: If you provide feedback or suggestions about the service, we may use them without obligation to you.
7. Billing and Subscription
- Plans: Pricing for paid plans will be published at parvl.com/pricing when available. During the research pilot period, the service is provided free of charge.
- Billing cycle: When paid plans become available, they will be billed monthly or annually in advance. Annual plans will receive a discount as shown on our pricing page.
- Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- Cancellation: You may cancel your subscription at any time from the billing settings page. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends.
- Refunds: Monthly subscriptions are non-refundable. Annual subscriptions are eligible for a pro-rata refund for unused full months remaining in the annual term, provided the refund request is made within 30 days of the most recent charge.
- Price changes: We will provide at least 30 days' notice before any price increase. Price changes take effect at the start of the next billing period after the notice.
8. Service Availability
We make commercially reasonable efforts to maintain the availability of the Parvl cloud service. Planned maintenance windows will be communicated at least 24 hours in advance where practicable. During the research pilot period, the service is provided on a best-effort basis without uptime guarantees. Formal Service Level Agreements (SLAs) with defined uptime commitments and financial remedies will be available on paid plans when introduced.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Parvl's total aggregate liability for any claims arising out of or relating to these terms or the service shall not exceed the total fees paid by you to Parvl in the twelve (12) months preceding the event giving rise to the claim.
- In no event shall Parvl be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.
- These limitations apply even if Parvl has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
Nothing in these terms is intended to exclude, restrict, or modify any guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
10. Indemnification
- By you: You agree to indemnify and hold Parvl harmless from any claims, losses, or damages (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any third-party rights.
- By Parvl: Parvl agrees to indemnify and hold you harmless from any claims, losses, or damages (including reasonable legal fees) arising from Parvl's platform (excluding AI-generated classifications and outputs) infringing any third-party intellectual property rights in connection with your authorized use of the service.
11. Termination
- By you: You may terminate your account at any time by cancelling your subscription and deleting your organization from the settings page, or by contacting support.
- By Parvl: We may terminate or suspend your access with 30 days' written notice. We may terminate immediately and without notice if you materially breach these terms, including violations of the acceptable use policy.
- Effect of termination: Upon termination, your right to use the service ceases immediately. Your data will be retained for 30 days to allow export, after which it will be permanently deleted in accordance with our Privacy Policy.
- Survival: Sections on limitation of liability, indemnification, intellectual property, and governing law survive termination of these terms.
12. Proprietary Software
Parvl is proprietary software. All rights not expressly granted in these Terms are reserved by Parvl. You may not copy, modify, distribute, sell, or lease any part of the service or its underlying software, nor may you reverse engineer or attempt to extract the source code of the software, except as permitted by applicable law.
13. Beta Service
The Service is currently in beta. Features, functionality, and interfaces may change, be modified, or be removed without prior notice. While we strive to maintain service reliability, beta features are provided on an “as is” basis. We make no guarantees regarding the availability, performance, or long-term continuity of any specific feature during the beta period.
14. Governing Law and Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising out of or relating to these terms or the service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia. For EU-based customers, nothing in these terms affects your right to rely on any mandatory provisions of the law of your country of residence.
15. Changes to These Terms
We may update these Terms of Service from time to time. For material changes, we will provide at least 30 days' advance notice via email before the changes take effect. Your continued use of Parvl after the effective date of the revised terms constitutes acceptance of those terms.
